Terms

This Agreement (“Agreement”) made between Isadora Gabrielle Leidenfrost, PhD of Soulful Media (“Soulful Media”) at 14727 S. Woodcrest Ave. Homer Glen, IL 60491 USA info@lydiaruylemovie.com and Institution or Host ("Institution") whose information has been submitted using the form to the right. Whereas, the Institution is offering 1 (one) screening of the film “Herstory” created by Soulful Media.

Merchandise:

The Institution agrees to allow the filmmaker to sell merchandise commission free at the screening. The Institution will provide the filmmaker with a 6 ft table.

Goddess Banners:

If applicable, Soulful Media will bring and install her 25qty 5ft x 3ft Goddess banners to transform the screening venue. The Institution agrees to provide ladders and helpers to assist with the set up. Depending on the size of the screening venue, set up can take up to 2hrs.

Payment & Screening Fees:

This document serves as the official request and agreement for offering one (1) public film screening of “Herstory" and also the agreement of payment.

50/50 Payment Option:

The Institution agrees to a 50/50 split on GROSS admissions with a $300 required minimum payment to ensure that a portion of the travel expenses are covered. Gross admissions is defined as the total admissions collected. Any expenses (rent, food, paypal fees, or other fees) are the responsibility of the Institution. Payment must be made in full on the date of the screening. Any outstanding payment may be made via Paypal using the email address: info@soulfulmedia.com

Flat Rate Screening Option:

The Institution agrees to pay a one-time, flat screening fee of the agreed amount based on written email communication with Soulful Media. Soulful Media will send the Institution a Paypal invoice on the date of submitting this license for the amount due. Payment must be made in full by the date of the screening.

Additional Workshop:

If Dr. Isadora also facilitates an additional workshop the required minimum will increase to $450 from the admissions plus a $5 materials fee per person.

Late payment:

If payment is not received within 14 days, Soulful Media reserves the right to charge a 15% late fee penalty on the compensation due, which is compounded for each day late.

Additional Information:

The Institution also understands and agrees that they may not under any circumstance offer additional screenings of “Herstory” without an additional screening license.

Cancellation Policy:

If the Institution cancels the screening, ALL costs incurred by Soulful Media will be paid for by the Institution. The Institution agrees to pay these costs within 14 day of the date they notify Soulful Media of the cancellation. Such costs include: booked travel expenses, posters, shipping fees via USPS and FedEx, postcards, screener DVDs, etc. No refunds will be given for screening fees.

Equipment:

The Institution agrees to provide all necessary equipment for the screening, UNLESS you have a written or emailed agreement that Soulful Media will be providing equipment. We suggest the following: Projector, Screen, Speakers, and a DVD player or a computer with a DVD player.

Publicity:

Soulful Media grants the Institution permission to use the trailer and other imagery from “Herstory” for the promotion of the screening, but the Institution must credit the use of said material as “Courtesy of Soulful Media.” The Institution may take additional publicity resources from the www.TheHerstoryMovie.com website or make a special request to receive promotional images by email. Soulful Media also grants the Institution permission to promote Isadora Gabrielle Leidenfrost, PhD and the Soulful Media name, likeness, and biography or portions thereof for the purposes of the screening. This information may be taken from: http://www.isadoraleidenfrost.com and http://www.soulfulmedia.com

Soulful Media hereby releases the Institution and the Institution personnel from showing or distributing the above named items from any claim by Soulful Media or damages to Leidenfrost’s person, property, reputation, or for invasion of privacy, but only for the purpose of promoting the screening of “Herstory.”    Soulful Media affirms that all the materials presented in “Herstory” have been acquired with the appropriate permissions from all individuals, locations, images, etc. featured in the film. And the Institution agrees that Soulful Media is the owner of all the rights of “Herstory” and that the DVD copy provided for the screening is not for resale and after the screening date the DVD and other promotional materials may be added to the Institution’s archives.

Restatement of the Terms

In accepting the terms of this agreement Soulful Media agrees to provide the following within 30 days of the screening date:

• Soulful Media will provide 10 (11 x 17) customized posters, and 50 uncostumized movie postcards for publicity purposes. Soulful Media will customize each poster to the specifics of the screening information provided by the Institution. The postcards will be blank on the back so that the institution may customize their own postcards or use them as tickets.

 

• If requested by email, Soulful Media will provide the Institution with images, trailers, and a film synopsis for promotion of the screening.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

• Soulful Media accepts the terms of service and all responsibilities stated above.

• The Institution hereby agrees to the responsibilities stated above and the full payment shall be made prior to or upon submitting this agreement.

The laws of the State of Illinois shall construe this agreement. If any provision hereof shall be deemed unenforceable, it shall be severable here from and the remainder of this Agreement shall remain in full force and effect. This Agreement contains the complete agreement between the parties and any modifications hereof shall be in writing signed by the parties. If for any reason the following conditions and above agreement is not met both the parties are entitled to cancel the contract and an additional contract for the services must be created and agreed upon.
